PLEASE READ CAREFULLY: This document describes the Bidder/Purchaser's responsibilities and disclosures. Failure to read and understand these Terms and Conditions is a failure of the Bidder/Purchaser and not a cause to void a bid placed or a contract signed. All sales are final.
Southern Auction Solutions, Ron Young, Auctioneer, AL #5390 GA #4397, and Southern Auction Solutions staff will hereby be known throughout this document as "Auction Company."
IMPORTANT DISCLOSURES
Property Viewing: Bidders may schedule viewings of the property. In most cases, the Auction Company will require the bidder to meet registration requirements and be approved to bid prior to scheduling an in-person viewing. Some properties are open for public viewing at any time. Please contact the Auction Company for viewing instructions.
Auction Closing Process: When the auction begins to close, it will close with a two-minute auto-extend feature. If a bid is placed on ANY tract or combination within the last two minutes, the bidding will remain open for ALL tracts and combinations for an additional two minutes. This will continue until no bids are placed for two full minutes on any tract or combination, at which point the auction will close. Winning Bidders will receive a phone call from the Auctioneer with next steps at the conclusion of the auction.
Property Information: Tract sizes and flagging are estimates obtained from our mapping software and are not exact. These estimations are for the bidders' convenience only and are not guaranteed. Interested parties should conduct their own due diligence. Tract sizes are not exact unless a survey is completed. No reduction in price will be due for tracts surveying to be less acreage than advertised. Our sizes are estimates only.

- The information provided regarding the size of the property and any other factors are estimates only, used for the convenience of the Bidder/Purchaser unless confirmed by a recent survey. Auction Company is not responsible for the exact size of property.

The Bidder/Purchaser acknowledges having inspected the property being bid on and accepts it with any and all faults.

Bidder/Purchaser acknowledges that they have had the opportunity to inspect all structures and improvements and accepts them in their current condition. No warranties are made regarding the condition, age, functionality, or code compliance of any structures, mechanical systems, wells, septic systems, or other improvements.
AUCTION TERMS
1. Purchase Contract: The property is offered under the specific terms provided in the Real Estate Sales Contract. A sample Real Estate Sales Contract is available under the document tab.
a. Bidders will be manually approved for registration to bid online.
b. A deposit of 20% of the high bid (or combined high bids if multiple tracts are won) is required. The deposit is due to the Auction Company by 5:00 pm CST the day after the online auction is concluded via wire transfer or cashier's check. Bidder/Purchaser must provide Proof of Funds to be approved to bid. This can be a letter from your bank, a pre-approval letter or intent to loan from a lender, a screenshot of your bank account, or anything showing you have the ability to cover the amount of your bid. Notice to Non-U.S. Citizens: All deposits must be arranged through wire transfers to Southern Auction Solutions. Non-U.S. Citizens' certified checks will not be accepted.
c. The winning Bidder(s) will be required to sign a binding, non-contingent Real Estate Sales Contract within 24 hours after close of the auction.
d. THE BID AMOUNT SHOWN AS THE HIGH BID IS WITHOUT A BUYER'S PREMIUM. ALL BIDS WILL HAVE A 10% BUYER'S PREMIUM ADDED TO DETERMINE THE FINAL SALES PRICE PLUS THE COST OF CLOSING.
2. Terms of Sale: Winning Bidder(s) will receive a Real Estate Sales Contract via email to be executed and returned to Ron@SouthernAuctionSolutions.com or completed through DocuSign. Twenty Percent (20%) Non-Refundable deposit of the High Bid Price (or combined total if purchasing multiple tracts) must be wired or sent by certified check to Southern Auction Solutions trust account within 24 hours of auction conclusion. Remaining balance is due at closing within 30 DAYS.
3. Bidder Verification: Bidder registration is required. Southern Auction Solutions will verify all registrations. Bidding rights may be terminated without notice if verification fails or online terms are not met. Auctioneer may require proof of funds letter.
The Auctioneer has the right to deny or suspend bidding privileges as deemed necessary to protect the interest of the auction and the Seller. The Bidder shall have no recourse. If the registering bidder cannot understand the terms or communicate that they understand the terms for the auction, bidding will not be approved.
4. Buyer's Premium: A 10% Buyer's Premium will be added to the bid price for the final sale price. In multi-parcel auctions, the Buyer's Premium applies to whatever configuration is determined to be the winning sale method. Example:
- Single Tract: Bid Price: $100,000 + 10% Buyers Premium: $10,000 = Total Sale Price: $110,000
- Multiple Tracts or Combination: The 10% Buyer's Premium is added to the total purchase price of all tracts or combinations won by the Bidder.
5. MULTI-PARCEL BIDDING FORMAT: This auction utilizes a multi-parcel (multi-par) format. The property is divided into multiple tracts that are offered for sale individually AND in various combinations. The purpose of this format is to achieve the highest total sales price by allowing bidders to purchase individual tracts, combinations of tracts, or the entire property.
a. How Multi-Parcel Bidding Works:
- Bidding opens on all individual tracts
- Combination bidding opens AFTER each individual tract receives at least one bid
- The platform automatically calculates which configuration produces the highest total dollar amount in REAL-TIME
- The configuration producing the highest total becomes the winning sale method
- The platform shows bidders their status as "HIGH BIDDER" or "OUTBID" based on the current winning configuration
- Only bidders whose bids are part of the winning configuration at auction close will be obligated to purchase
b. How the Platform Determines the Winning Configuration:
The platform automatically compares all possible sale configurations in real-time, including:
- All individual tracts sold separately (sum of high bids)
- Various combinations of tracts sold together
- The entire property sold as one unit
The platform continuously calculates which configuration produces the HIGHEST TOTAL DOLLAR AMOUNT. This determines which bidders are currently winning and what they would purchase. Bidders can see their status update automatically as bids are placed.
c. Bidding on Combinations:
- A combination bid must be at least one full increment higher than the sum of the current high bids on the individual tracts included in that combination
- Example: If Tract 1 = $75,000 and Tract 2 = $70,000 (total $145,000), a bid on Combination 1+2 must be at least $147,000 ($145,000 + $2,000 increment)
d. Understanding Your Bidding Status:
- The platform will show you as "HIGH BIDDER" or "WINNING" if your bid is currently part of the winning configuration
- You may show as "OUTBID" even if no one has bid higher than you on your specific tract - this means a different configuration is currently winning overall
- Your bidding status can change based on bids placed on ANY tract or combination, not just the one you bid on
- Being "OUTBID" does not necessarily mean you have lost - the configuration may shift back in your favor as other bids are placed
- The platform automatically updates your status in real-time as the winning configuration changes
e. Bidding Increments:
Individual Tracts: $1,000 minimum increment
Two-Tract Combinations: $2,000 minimum increment
Three-Tract Combinations: $3,000 minimum increment
Bidders may enter amounts higher than the minimum increment.
f. No Maximum (Auto) Bidding:
- This auction format does NOT allow maximum bids or auto-bidding
- All bids must be placed manually at the next increment or higher
- Bidders must actively monitor and place bids throughout the auction
- The platform does NOT proxy bid on your behalf
g. Extended Close for All Tracts:
- If ANY bid is placed on ANY tract or combination within the last two minutes of the auction, bidding will remain open for ALL tracts and combinations for an additional two minutes
- This process continues until no bids are placed on any tract or combination for a full two-minute period
- The extended close applies simultaneously to all tracts and combinations
h. Examples of Multi-Parcel Outcomes:
EXAMPLE 1: Individual Tracts Win
Final Bids:
- Tract 1: $80,000 (Bidder A)
- Tract 2: $70,000 (Bidder B)
- Tract 3: $90,000 (Bidder C)
- Combination 1+2+3: $225,000 (Bidder D)
Result: Individual tracts total $240,000 vs. Combination of $225,000
WINNER: Tracts sell separately. Bidder A purchases Tract 1, Bidder B purchases Tract 2, Bidder C purchases Tract 3.
EXAMPLE 2: Combination Wins
Final Bids:
- Tract 1: $75,000 (Bidder A)
- Tract 2: $65,000 (Bidder B)
- Tract 3: $85,000 (Bidder C)
- Combination 1+2+3: $245,000 (Bidder D)
Result: Individual tracts total $225,000 vs. Combination of $245,000
WINNER: Entire property sells as one. Bidder D purchases all three tracts. Bidders A, B, and C do NOT purchase anything.
EXAMPLE 3: Mixed Configuration Wins
Final Bids:
- Tract 1: $75,000 (Bidder A)
- Tract 2: $65,000 (Bidder B)
- Combination 2+3: $160,000 (Bidder C)
- Combination 1+2+3: $230,000 (Bidder D)
Result: Tract 1 alone ($75,000) + Combination 2+3 ($160,000) = $235,000 total vs. Combination 1+2+3 ($230,000)
WINNER: Mixed configuration. Bidder A purchases Tract 1, Bidder C purchases Tracts 2+3 combined. Bidders B and D do NOT purchase anything.
i. Bidder Acknowledgment:
By bidding in this multi-parcel auction, Bidder acknowledges and agrees that:
- They understand how multi-parcel bidding works and how the platform automatically determines the winning configuration
- They may show as "OUTBID" even if no one bids higher on their specific tract
- Only the winning configuration at auction close creates binding purchase obligations
- The platform's automatic determination of the winning configuration based on highest total value is final
- All bids are binding if they become part of the winning configuration at auction close
6. Bidding Format: The Bidwrangler platform is utilized for timed online auctions. A high-speed internet connection is recommended. The auto-extend feature adds 2 minutes when a bid is placed on ANY tract or combination within 2 minutes of the scheduled ending time. The auto-extend applies to ALL tracts and combinations simultaneously. For example, if an auction is scheduled to end at 4:00 p.m. and receives a bid on any tract at 3:59 p.m., the conclusion of the auction for ALL tracts automatically extends to 4:01 p.m. The auto-extend feature remains active until no further bids are received on any tract or combination within the 2-minute time frame.
In multi-parcel auctions, the winning Bidder(s) are determined by the platform after the auction closes based on which configuration produces the highest total value.

7. Auction Bid Default: In the event a winning Bidder/Purchaser fails to submit the executed Real Estate Sales Contract as well as the required non-refundable down payment as provided in the Auction Terms, there may be remedies for the seller as a result of default, including legal action for seller's losses.
8. Closing: Closing will occur within 30 days of the auction. Seller pays prorated taxes. Buyer pays all other closing costs. The purchase is not contingent on inspections or financing. Delays beyond 30 days without written authorization constitute breach, resulting in deposit forfeiture and liability for resale costs. Legal claims will be filed in Randolph County, Alabama.
9. Agency Disclosure: Southern Auction Solutions represents the SELLER in ALL transactions. Southern Auction Solutions acts as a Transaction Facilitator to the buyer and does NOT represent the buyer's interests. A Transaction Facilitator provides assistance to both parties in reaching an agreement but does not advocate for the buyer. By participating in this auction, Bidder acknowledges they have been informed of this agency relationship and understands that the Auction Company is working on behalf of the Seller. Bidders must sign and acknowledge understanding of this agency relationship in order to be approved to bid.
10. Disclaimer: All information contained herein is believed to be correct. By accepting the Terms & Conditions, you acknowledge you have read and understand them. The information is being furnished to Bidders for the Bidder's convenience; however, it is the responsibility of the Bidder to determine that information contained herein is accurate and complete. Any reliance on the contents shall be solely at the recipient's risk. Each Bidder must conduct and rely solely upon their individual investigation and inspection. The property is being sold "AS IS" "WHERE IS" with any and all faults. All properties are sold subject to any and all existing matters of record, all easements, and local zoning regulations. There are NO CONTINGENCIES for financing, appraisals, repairs, or inspections or any other requirements that may be required by a mortgage company. Please review all information supplied and seek appropriate assistance prior to bidding.
Bidder acknowledges that hardware malfunctions, software malfunctions, viruses, and similar issues do occur and are beyond the knowledge, scope, and control of the Auctioneer. We are NOT responsible for your system malfunctions, connection to the Internet, or your email stopping any of our emails to you regarding bid confirmations and/or outbid notifications.
Read the descriptions and view photographs carefully. If you have any questions, please call the Auctioneer at 334-885-1787. Using YOUR knowledge and experience, form your own opinion of the property and bid accordingly. If you are in doubt, DO NOT BID. The property is SOLD "AS IS" "WHERE IS"; this is an AUCTION and all SALES ARE FINAL. Bids cannot be retracted and are binding contracts between Bidder and Auctioneer/Seller IF they become part of the winning configuration in a multi-parcel auction. Bidder is accountable to be informed about property and associated costs before bidding. The starting bid is not the Reserve Price. Auctioneer reserves the right to reopen bidding. The platform's determination of the winning configuration and highest total value is final and binding. Some auctions have a minimum selling price established by Seller ("Reserve Price"). Except where prohibited by law, Auctioneer may counter bid on behalf of Seller on any property up to the amount of the Reserve Price (and no such bid will result in a sale of the property). If the Reserve Price is not met, Seller is under no obligation to sell the property; however, Seller may accept a bid that is below the Reserve Price at their sole discretion. Auctioneer reserves the right to reopen bidding.
11. Merchantable Title: Clear title guaranteed - Seller to convey good title by warranty deed or other appropriate deed. Reasonable extension will be granted for title issues. Non-refundable deposit will be refunded if title is unmerchantable.
12. Changes and Announcements: Auctioneer reserves the right to deny admission, postpone/cancel auction, withdraw property, or alter terms upon announcement.
13. Auction Subject to Prior Sale: "Auction subject to prior sale" does not mean it is our intention or goal to sell the property before the auction OR that there is a listed price posted on the property. Southern Auction Solutions is legally bound to present any and all written offers to the Seller at the time they are presented. Although we endeavor not to encourage pre-auction offers unless they are exceptional, we are obligated to present all of them, regardless of when, how, or from whom they arrive. Although the intent is to auction the listed property, the ultimate goal is to sell the property for a price satisfactory to the Seller or Court which has jurisdiction. If the property is sold prior to auction, the Auctioneer will do his best to give notice to all other interested parties.
